1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity, "you" or "User") and AI Marketing Agent ("we", "us", "our", operating at https://aimarketingagent.in), concerning your access to and use of our web application, tools, APIs, and services.

By registering an account, signing in through Google OAuth, or using the AI Marketing Agent platform, you explicitly agree that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree with all of these Terms, you are prohibited from using the platform and must discontinue use immediately.

2. Eligibility & Account Security

• Legal Age & Capacity: You must be at least 18 years old and possess the legal authority to enter into these Terms on behalf of yourself or the business organization you represent.

• Account Integrity: When creating an account manually or via Google OAuth, you agree to provide true, accurate, current, and complete information. You are responsible for safeguarding your login credentials and for all activities that occur under your account.

• Unauthorized Access: You agree to notify us immediately at support@aimarketingagent.in upon discovering any unauthorized use of your account or security compromise.

3. Intellectual Property Rights & Content Ownership

• Your Content & Generated Output: You retain sole and exclusive ownership of all proprietary data, brand voice definitions, client profiles, and marketing materials you upload to the platform. Furthermore, you own all right, title, and interest in and to the marketing copy, hooks, editorial schedules, and imagery generated by the platform specifically for your account.

• Our Intellectual Property: AI Marketing Agent and its licensors retain all right, title, and interest in and to the platform, including its software architecture, user interfaces, branding, proprietary algorithms, database schemas, and documentation. You may not copy, reverse engineer, decompile, or modify any portion of our software.

• Limited License to Operate: You grant us a limited, non-exclusive, worldwide, royalty-free license solely to host, process, and transmit your content as necessary to provide the services requested (e.g. executing AI draft generation and publishing to your connected LinkedIn profile or company page).

4. Acceptable Use Policy

You agree not to use the platform for any unlawful purpose or in violation of these Terms. Specifically, you agree that you will NOT:

• Publish unlawful, defamatory, harassing, abusive, fraudulent, obscene, or racially discriminatory content.

• Generate automated spam or violate the LinkedIn User Agreement, LinkedIn Professional Community Policies, or Google API Services User Data Policy.

• Attempt to compromise, probe, scan, or breach the security, authentication, or network boundaries of AI Marketing Agent or its infrastructure.

• Interfere with or disrupt the integrity or performance of the platform, or impose an unreasonable or disproportionately large load on our servers.

• Sell, resell, rent, lease, or commercially redistribute access to the platform without prior written authorization from AI Marketing Agent.

5. Artificial Intelligence Services & Editorial Disclaimers

• Nature of AI Output: AI Marketing Agent incorporates advanced generative artificial intelligence models (including Google Gemini API) to assist you in planning editorial calendars, generating multi-angle viral hooks, and drafting social posts.

• Human Editorial Review: AI-generated text and imagery are tools designed for creative ideation and drafting. You acknowledge that AI outputs may occasionally contain inaccuracies, hallucinations, or unintentional errors. You bear the sole responsibility for reviewing, editing, verifying factual accuracy, and approving all content prior to publishing it to public channels.

• Zero Public Model Training: We strictly maintain enterprise privacy safeguards. Your private brand voice rules, confidential business prompts, and draft outputs are NEVER used to train or fine-tune public foundation AI models.

6. Third-Party Integrations (Google & LinkedIn)

• Google OAuth 2.0: Our platform utilizes Google OAuth to facilitate fast and secure single sign-on. Our collection and use of Google user data adheres strictly to our Privacy Policy and the Google API Services User Data Policy (Limited Use).

• LinkedIn API Publishing: If you connect your LinkedIn profile or company page, we use official LinkedIn REST APIs to schedule and publish your approved posts. You are responsible for ensuring that all published content complies with LinkedIn's Terms of Use.

• Third-Party Availability: We are not liable for service disruptions, rate limits, or policy enforcement actions instituted by third-party platforms such as Google or LinkedIn.

7. Subscriptions, Free Trial & Payment Terms

• 100% Free Trial: New users receive an introductory free trial that includes 5 AI-generated posts and full feature access without requiring credit card information.

• Subscription Plans: Paid subscriptions (Starter, Growth Pro, Agency Elite) are billed in advance on recurring monthly or annual cycles depending on the plan selected.

• Payment Processors: Payments are securely processed via Razorpay (for INR transactions) and Stripe (for USD transactions). We do not store full credit card numbers or sensitive banking details on our servers.

• Cancellation: You may cancel your subscription at any time with immediate effect via the in-app Account Settings menu. Upon cancellation, your workspace remains fully active until the end of your prepaid billing period, and no further renewal charges will be billed.

• Refund Policy: As outlined in our Refund Policy, all paid subscription sales are final due to the immediate allocation of AI compute resources and API quota upon billing. Users are strongly encouraged to evaluate the platform thoroughly using the 5-post free trial before purchasing.

8. Termination & Suspension

• Termination by You: You may terminate your account at any time by deleting your account from the Settings portal or requesting deletion via email.

• Termination by Us: We reserve the right to suspend or terminate your account and access to the platform immediately, without prior notice or liability, in the event of material breach of these Terms, non-payment, or abusive activity that threatens platform security or third-party service compliance.

• Effect of Termination: Upon termination, your right to use the platform ceases immediately. You may request an export of your proprietary brand data and posts prior to permanent data deletion.

9. Disclaimer of Warranties

The platform and all services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

We do not warrant that: (a) the service will function uninterrupted, secure, or error-free at all times; (b) defects or errors will be corrected immediately; (c) the results obtained from using AI-generated marketing content will achieve specific conversion rates, follower counts, or business revenue goals.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall AI Marketing Agent, its founders, officers, employees, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or related to your use of or inability to use the platform.

In no event shall our total aggregate liability for all claims arising under or related to these Terms exceed the total amount paid by you to AI Marketing Agent in the twelve (12) months immediately preceding the event giving rise to liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless AI Marketing Agent, its directors, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the platform; (b) your violation of these Terms; or (c) any content you generate and publish that infringes third-party intellectual property or privacy rights.

12. Governing Law & Dispute Resolution

These Terms shall be governed by, construed, and enforced in accordance with the substantive laws of India, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India.

13. Modifications to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 15 days notice by updating the "Last updated" date on this page and notifying registered users via their account dashboard or email. Your continued use of the platform following the effective date of revised Terms constitutes your acceptance of the changes.
